Terms of Service
Effective Date: April 5, 2026
BY ACCESSING OR USING “KNOWLEDGEASSIST”, YOU OR THE ENTITY YOU REPRESENT (“YOU”, “CUSTOMER”) AGREE TO BE BOUND BY THESE TERMS OF SERVICE (“AGREEMENT”).
This Agreement is between You and Connectnext Technologies India (OPC) Private Limited (“Connectnext”), a company incorporated under the laws of the Republic of India, having its registered office at:
5th Floor, A-Wing, Statesman House,
148, Connaught Place, New Delhi – 110001, India.
1. Eligibility
You must be of legal age and have the legal capacity to enter into a binding agreement under applicable law in order to access or use KnowledgeAssist. By using the Service, you represent and warrant that you meet these requirements.
2. Modifications
Connectnext may modify this Agreement from time to time for legal, regulatory, or business reasons. Material changes will be notified via email to Administrators and/or displayed within the Service. Continued use of KnowledgeAssist after the effective date constitutes acceptance of the updated terms.
3. Service Description
KnowledgeAssist is an AI-assisted knowledge base search and retrieval service that allows Customers to upload, index, and query their own business documentation. The Service is available under the following plan tiers:
- Free (Forever): A no-cost tier for individuals and small teams, subject to usage limits as described on the pricing page. No credit card is required.
- Essentials Trial: A no-cost, time-limited trial of the Essentials plan available for thirty (30) days. No credit card is required. At the end of the trial period, the account will not automatically convert to a paid subscription. Customers wishing to continue on the Essentials plan must subscribe before the trial expires.
- Essentials: A paid subscription tier for growing teams requiring greater scale, control, and access management features. Subscription terms, pricing, and feature limits are described on the pricing page and are subject to Section 4 (Billing and Payment) of this Agreement.
Availability, features, and limits applicable to each plan may be updated by Connectnext from time to time with notice to Customers as described in Section 2.
4. Billing and Payment
a. Subscription and Fees
Access to the Essentials plan requires a paid subscription. Fees are charged on a per-user, per-month or per-user, per-year basis as selected at the time of purchase and as displayed on the pricing page. All fees are quoted and charged in US Dollars (USD) unless otherwise stated. Connectnext reserves the right to update pricing with reasonable prior notice.
b. Billing Cycle
Subscriptions are billed in advance on a monthly or annual cycle depending on the plan selected. Billing begins on the date your paid subscription is activated. For annual plans, you will be billed for the full year upfront.
c. Promotional and Limited Period Pricing
Connectnext may offer promotional pricing for a specified period. Promotional pricing applies only for the duration stated at the time of purchase. At renewal, subscriptions revert to the then-current standard pricing. Connectnext will provide reasonable advance notice of any such change.
Where a promotional offer is fulfilled as a partial refund for an annually billed subscription, the following conditions apply:
- The subscription must remain active for twelve (12) continuous months from the start date.
- Only licenses continuously active from the subscription start date through the end of the twelve (12) month period are eligible for the refund, which will be credited to the original payment method within thirty (30) days of completing the annual billing period.
d. Payment Method
Payment is processed through our third-party payment processor. By subscribing, you authorize Connectnext to charge your payment method for the applicable fees on a recurring basis (monthly or annually, as applicable) until you cancel your subscription. You are responsible for ensuring that your payment information is accurate and up to date.
e. Failed Payments
If a payment fails on your renewal date, your subscription will enter a Payment Pending status and Connectnext will notify you by email. Our payment processor will attempt to retry the payment automatically. If all retries are unsuccessful, your subscription will move to an Expired status.
From your renewal date, you will have a grace period of seven (7) days to update your payment information and complete payment. If payment is not received within the grace period, your subscription will be marked as Cancelled and access to your Domain Account may be revoked. All data within your Domain Account will be permanently purged within thirty (30) days of cancellation.
To resolve a payment issue or reactivate your subscription within the grace period, please contact support@connectnext.ai.
f. Refund Policy
All fees paid are non-refundable except as required by applicable law or as expressly stated in writing by Connectnext. If you cancel your subscription, you will retain access to the paid plan until the end of your current billing period. No partial refunds will be issued for unused portions of a billing period.
Connectnext may, at its sole discretion, issue refunds or credits in exceptional circumstances. Any such decision does not create an obligation to provide refunds in future cases.
Promotional refunds issued as part of a limited period offer are separate from and do not affect this general refund policy. Promotional refunds are governed by the terms of the specific offer as communicated at the time of purchase.
g. Cancellation
You may switch to the Free (Forever) plan or cancel your subscription at any time by navigating to Administration › Subscription › Manage Subscription in your Domain Account. Both actions are processed as an order and take effect on your next renewal date, at which point your subscription will be switched to the Free (Forever) plan or marked as Cancelled accordingly.
Once a pending plan switch or cancellation order is in place, no further subscription orders can be raised until the pending order has been processed.
If you need to withdraw a pending order, or if you are experiencing difficulty accessing Manage Subscription, please contact support@connectnext.ai.
h. Data on Domain Account Cancellation
The following applies upon cancellation depending on your plan:
- Free (Forever): Your Domain Account will be deleted immediately upon cancellation.
- Essentials Trial: Your Domain Account will be deleted immediately upon cancellation.
- Essentials (paid): Your Domain Account will remain active until the end of your current billing period. Upon the next renewal date, the subscription will be marked as Cancelled and your Domain Account will be deleted.
For all cancellations, all data within your Domain Account will be permanently purged within thirty (30) days of the Domain Account being deleted.
Trial Expiry: If an Essentials Trial expires without conversion to a paid subscription, your Domain Account will be deleted within seven (7) days of the trial expiry date. All data within your Domain Account will be permanently purged within thirty (30) days of expiry.
i. Taxes
Fees do not include applicable taxes, levies, or duties. You are responsible for all such taxes associated with your purchase, excluding taxes based on Connectnext's income.
5. Data Residency Requirements
You are responsible for ensuring that any data uploaded to the Service may be lawfully transferred to, stored, and processed in the United States and is not subject to data localization, residency, or sector-specific regulatory requirements.
6. Customer Responsibilities
a. Account Information
Customers must provide accurate and current information during signup and ensure their dedicated connectnext.ai domain reasonably reflects their business identity.
b. Customer Data
Customers retain ownership of all data they upload. Customers represent and warrant that they own or have lawful rights to all uploaded content and that such content does not violate intellectual property, privacy, or other third-party rights.
Customers must not upload personal data, financial records, health information, or any data subject to data-localization or special regulatory restrictions. Customers must ensure that all data uploaded to the Service may lawfully be hosted and processed in the United States.
c. Credentials & Security
Customers are responsible for maintaining the confidentiality of their login credentials and all activity under their account. Connectnext is not liable for any loss or damage arising from unauthorized access caused by Customer negligence.
7. Acceptable Use
Customers agree not to:
- Use the Service for unlawful, harmful, defamatory, or abusive purposes
- Upload malicious code, viruses, or exploit system vulnerabilities
- Process data on behalf of unrelated third parties
- Reverse engineer, decompile, or attempt to access source code
- Conduct unauthorized benchmarking, scraping, or automated access
- Misrepresent affiliation with or endorsement by Connectnext
Fair Use
Use of the Service is subject to reasonable usage limits and fair use policies as described on the pricing page. Connectnext reserves the right to monitor usage and apply rate limiting or throttling to prevent abuse, excessive resource consumption, or degradation of service for other users.
8. Intellectual Property
All rights, title, and interest in the Service, software, and underlying technology belong exclusively to Connectnext. Customers are granted a limited, non-exclusive, revocable right to use the Service in accordance with this Agreement.
9. Open Source Licenses
Connectnext uses certain third-party open-source software and AI models as part of the KnowledgeAssist Service. Use of these components is subject to their respective licenses. Nothing in this Agreement grants ownership or alters your obligations under those licenses.
10. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ACCURACY, AVAILABILITY, OR FITNESS FOR A PARTICULAR PURPOSE.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CONNECTNEXT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE USE OF THE SERVICE, EVEN IF CONNECTNEXT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
CONNECTNEXT'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SERVICE SHALL NOT EXCEED THE FOLLOWING LIMITS:
- Free Plan: Connectnext's total liability shall be zero (USD $0).
- Essentials Plan (Monthly): The total fees paid by you to Connectnext in the three (3) calendar months immediately preceding the event giving rise to the claim.
- Essentials Plan (Annual): The total fees paid by you to Connectnext in the twelve (12) calendar months immediately preceding the event giving rise to the claim.
These limitations apply regardless of the form of action, whether in contract, tort, negligence, strict liability, or otherwise, and reflect a reasonable allocation of risk between the parties.
12. Termination
Connectnext may terminate access to the Service at any time for violation of this Agreement or applicable law, with or without notice. For paid plan Customers, Connectnext will endeavour to provide reasonable notice prior to termination except where immediate action is required to protect the Service or other users. Upon termination by Connectnext, all data within your Domain Account will be permanently purged within thirty (30) days.
Free (Forever) plan accounts that show no recorded activity for a continuous period of six (6) months may be terminated by Connectnext. Connectnext will send a notice to the registered email address at least fourteen (14) days prior to termination. If no response or activity is recorded within that period, the Domain Account and all associated data will be permanently purged.
13. Service Discontinuation
Connectnext reserves the right to discontinue the KnowledgeAssist Service in whole or in part at any time.
Free (Forever) Plan: The Free plan may be discontinued at any time at Connectnext's sole discretion. Connectnext will endeavour to provide reasonable advance notice where practicable, but is under no obligation to do so.
Essentials Plan: In the event that Connectnext decides to wind down or discontinue the Service, Connectnext will cease accepting new subscriptions and will honour existing paid subscriptions until the end of their current billing period. No new billing cycles will be initiated after the discontinuation notice. Connectnext will provide a minimum of thirty (30) days' written notice to active paid Customers prior to the Service being shut down.
Upon discontinuation, all data within Domain Accounts will be permanently purged within thirty (30) days of the Service being shut down.
14. Governing Law
This Agreement shall be governed by the laws of India. Courts located in New Delhi, India shall have exclusive jurisdiction.
15. Definitions
“KnowledgeAssist”: The AI-powered documentation indexing and search service provided by Connectnext.
“Dedicated Connectnext.ai Domain” (also referred to as “Domain Account”): Upon sign-up, each Customer is provisioned a unique connectnext.ai domain (e.g., company.connectnext.ai) that is managed and used by the customer for their business needs. The Domain Account holds all documents added to Knowledge Bases, users, and configuration associated with the Customer.
“Administrator”: A user authorized to manage a connectnext.ai customer domain.
“Third Party”: Any entity not affiliated with Connectnext or the Customer.
“Subscription”: A recurring paid commitment to access the Essentials plan, billed monthly or annually.
“Billing Period”: The monthly or annual period for which a Subscription fee is charged.
“Trial”: A no-cost, thirty (30) day evaluation period of the Essentials plan, available to new Customers without a credit card. The Trial does not automatically convert to a paid Subscription upon expiry.
